These Terms of Service ("Terms") constitute a legally binding agreement between iFreshly Digital LLC, a Texas limited liability company ("Company," "we," "us," or "our"), and you ("Client," "you," or "your"). By accessing our website or engaging our 1-1 consulting services, you agree to be bound by these Terms.
iFreshly Digital LLC provides professional marketing consulting services. The specific scope, duration, and deliverables of the consulting engagement will be defined in a separate signed contract or Statement of Work (SOW).
Monthly Invoicing: Services are billed monthly via invoice. Payment is due upon receipt or as specified on the invoice.
Use-it-or-Lose-it Policy: Consulting is provided based on a weekly allotment of hours. If the Client misses a scheduled session or fails to utilize their allotted hours within the designated week, the payment remains the same. Hours do not roll over to subsequent weeks or months.
No Refunds: All payments are final. iFreshly Digital LLC maintains a strict no-refund policy for all services rendered.
Monthly Commitment: Contracts are ongoing monthly agreements unless a specific term length is defined in your SOW.
Notice Period: Clients wishing to terminate their agreement must provide thirty (30) days’ written notice prior to the next billing cycle.
Early Termination Fee: If the Client terminates a fixed-term contract before the expiration of the agreed-upon period, an Early Termination Fee will apply as specified in the individual Client contract.
Client Ownership: Upon payment in full, the Client shall own the copyright to specific custom deliverables created during the term (e.g., ad copy, custom graphics).
Company Retained Rights: iFreshly Digital LLC retains all rights to its pre-existing tools, proprietary methodologies, frameworks, and templates used during the consulting process.
Software Licenses: Access to any third-party software licenses provided by the Company may cease upon termination of services. At the Company’s discretion, such licenses may be transferred to the Client, subject to the software provider's terms and any applicable transfer fees.
The Client acknowledges that marketing is subject to external variables, including but not limited to market volatility, platform algorithm changes, and consumer behavior. iFreshly Digital LLC makes no guarantees, warranties, or representations regarding specific Return on Investment (ROI), conversion rates, or sales increases. All advice is provided as professional opinion based on industry experience.
To the maximum extent permitted by Texas law, iFreshly Digital LLC’s total liability for any claim arising out of these Terms or our services shall not exceed the total amount paid by the Client to the Company during the one (1 ) month immediately preceding the event giving rise to the claim.
These Terms are governed by and construed in accordance with the laws of the State of Texas. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in the county where iFreshly Digital LLC is headquartered.
We reserve the right to modify these Terms at any time. We will notify Clients of significant changes via email or a prominent notice on our website. Continued use of our services after such changes constitutes acceptance of the new Terms.
